This article is devoted to issues of financial instruments, particularly hedge funds. The authors reconstruct the genesis of creation of these funds, their role and changes over the years. They describe the characteristics of hedge funds and the characteristics of the whole market of operational funds. In addition, authors describe the market of private equity / venture capital and its role in the Polish capital market. The paper describes the market of hedge funds, which role in the Polish capital market is of particular importance. The application of a strategy to secure investment in the short term, which is characterized by a high rate of return. In exchange for a fee for managing the capital entrusted, the investor is given the opportunity to maximize profits with low risk by eliminating the risk of price fluctuations. This strategy allows you to make a profit during both bull and bear market.

Considered article describes the problems with defining the term of a financial instrument. It has to be noted that the term of the financial instrument requires to be updated very often. Dynamic changes occurring the financial market are forcing the legislator to change the existing law frequently in this matter. The article shows the width of the described term and the importance of the right understanding. Authors are pointing that even though the lawgiver is making some changes frequently it is always one step behind the existing state of things. There is no doubts that practice comes before the law. Article is also divided on two parts. The first part accords to the economical meaning of the financial instrument and the second part is devoted to the juridical aspects of this. Article is mainly based on the polish binding statutes, directives of EU, Polish and French law literature.

The article brings the concept of such financial instrument as promissory note. The authors are describing the beginning and the evolution of this instrument. Authors emphasize its Italian and German history. The article also refers to a definition, legal basis and some distinguishing features of promissory note listed. The next part is according to a moment when the commitment of promissory appears and when ends. Authors are also describing the specificity of this commitment. Last part is devoted to enumerate some characteristic types of promissory notes like endorsement, blank promissory notes and aval.
